Terms of Service
1. Acceptance of Terms
By accessing and using the services of BITWIN Corporation ("Company", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service and all applicable laws and regulations. These Terms govern your access to and use of our freight transportation and logistics services. If you do not agree, please do not use this service.
2. Services Provided
BITWIN Corporation (MC 1341287, DOT 3764227) provides interstate freight transportation services across the United States, including dry van freight, dedicated freight, regional transportation, long-haul transportation, logistics coordination, and time-sensitive loads. All services are subject to applicable federal and state transportation regulations, including regulations issued by the Department of Transportation (DOT) and the Federal Motor Carrier Safety Administration (FMCSA).
3. Service Agreements and Contracts
Specific terms for each shipment or service engagement may be detailed in separate written agreements, contracts, or rate confirmations. In the event of any conflict between these Terms and a specific service agreement, the terms of the specific service agreement shall prevail. All service agreements must be in writing and signed by authorized representatives of both parties unless otherwise confirmed in writing.
4. Quotes, Bookings, and Customer Responsibilities
Quotes provided are estimates based on the information supplied. Final rates may vary based on actual cargo weight, dimensions, distance, fuel surcharges, accessorial services, and market conditions. All bookings are subject to availability and acceptance. Customers are responsible for providing accurate shipment information, ensuring cargo is properly packaged and labeled, complying with hazardous materials regulations, and ensuring loading and unloading sites are accessible.
5. Liability and Cargo Claims
Our liability for cargo loss, damage, or delay is governed by applicable federal regulations, including the Carmack Amendment (49 U.S.C. § 14706) and FMCSA regulations, and the terms of the bill of lading or other shipping documents. Claims must be filed in writing within nine (9) months of delivery or expected delivery. Our liability is limited to the actual value of the goods at the time and place of shipment, not to exceed the amount declared by the shipper or the maximum liability allowed by law. We maintain cargo insurance as required by law.
6. Payment Terms
Unless otherwise agreed in writing, payment is due within thirty (30) days of invoice date. Late payments may accrue interest at the maximum rate permitted by law and may result in service suspension. Additional charges may apply for detention, layover, reconsignment, and other accessorial services. Disputes regarding charges must be submitted in writing within thirty (30) days of the invoice date.
7. Prohibited Items and Hazardous Materials
Shippers may not tender hazardous materials, illegal substances, or items that violate applicable laws without proper documentation and authorization. All shipments must comply with federal, state, and local laws. We reserve the right to refuse any shipment we determine to be unsafe, illegal, or in violation of these Terms or applicable law.
8. Cancellations
Cancellations must be communicated promptly. Cancellations after dispatch or driver arrival may incur fees including deadhead, detention, and truck order not used charges.
9. Insurance and Indemnification
We maintain liability and cargo insurance as required by federal and state regulations. Shippers agree to indemnify and hold harmless BITWIN Corporation, its employees, agents, and contractors from claims arising from inaccurate information provided by the shipper, improper packaging, violation of applicable laws, or third-party claims related to the shipper's cargo.
10. Force Majeure
We shall not be liable for failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, or other circumstances beyond our control.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability for claims arising out of or related to our services shall not exceed the amount paid by the shipper for the specific service giving rise to the claim. We shall not be liable for consequential, indirect, incidental, special, or punitive damages unless specifically agreed to in writing.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois and applicable U.S. federal transportation laws. Any disputes shall be resolved in the courts of Kane County, Illinois.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be posted on this page. Your continued use of our services after modifications constitutes acceptance of the revised Terms.
